Electro-Alfa Internațional Attracts EBRD and NN Pensii as Shareholders, Marking One of the Most Successful Entrepreneurial Listings in Romania
Electro-Alfa Internațional, a company with majority Romanian capital and over 35 years of experience, and one of the leading manufacturers of electrical equipment and energy infrastructure solutions, announces remarkable results at the conclusion of its Initial Public Offering on the Bucharest Stock Exchange, where it issued approximately 66 million shares.
Launched on February 2, the offer was closed early on February 6 due to high investor demand in both the retail tranche—where oversubscription exceeded 5800%—and the institutional tranche. Following the IPO, renowned investors such as the European Bank for Reconstruction and Development (EBRD) and NN Pensii entered the shareholding structure with stakes of over 5% each, confirming strong market interest in Electro-Alfa Internațional and its long-term development strategy.
The offering was structured into two tranches: retail and institutional. In the retail tranche, investors who subscribed within the first four days benefited from a 5% discount at a price of RON 8.4075 per share, while institutional subscriptions were made at the maximum price of RON 8.85 per share.
Initially, the retail tranche was set at 10% of the total shares offered. Given the high interest, the company decided to supplement it by an additional 5%, bringing the final allocation for individual investors to 15%. This decision reflects Electro-Alfa Internațional's respect for the interest shown by individual investors and the desire to offer them the opportunity to participate directly in the growth of a Romanian entrepreneurial company with a solid history and clear growth prospects.
Gheorghe Ciubotaru, Founder and Chairman of Electro-Alfa Internațional, stated: “For me, the listing of Electro-Alfa Internațional is a moment of deep emotional significance. Over 30 years ago, we started this journey with hard work, courage, and the belief that we could build something lasting in Romania. We have grown step by step, alongside a dedicated team and partners who stood by us at every stage. The fact that institutions like the EBRD and major pension funds like NN Pensii have chosen to invest in Electro-Alfa Internațional represents a strong validation of our path. At the same time, we are heartened by the trust shown by individual investors. This is a great responsibility, and we will continue to develop the company with the same seriousness, humility, and determination we started with in 1991.”
Victoria Zinchuk, EBRD Head of Office, Romania: „Our partnership with Electro-Alfa Internațional marks an important milestone in consolidating Romania's industrial sector and capital market. We are proud to support a company that combines solid engineering expertise with a strong vision for growth, innovation, and modernization. This investment reflects our confidence in the leadership of Electro-Alfa Internațional and its long-term strategy, and we look forward to working closely together as the company expands its capabilities, accelerates its R&D agenda, and continues to provide high-quality solutions for Romania's critical infrastructure.”
The market capitalization of Electro-Alfa Internațional after the offer stands at approximately RON 1,700 million, equivalent to USD 390 million or EUR 327 million. Electro-Alfa Internațional shares are to be admitted to trading on the regulated market of the Bucharest Stock Exchange under the symbol EAI, with the estimated trading debut date being March 3, 2026.
The funds raised through the IPO will be used to support Electro-Alfa Internațional’s growth strategy, including strategic acquisitions, internal capacity development, investments in energy production and storage, innovation, international expansion, and ensuring the working capital required for participation in major projects.
The IPO was carried out through SSIF Swiss Capital S.A. and UniCredit Bank S.A. as Joint Coordinators, with the law firm Clifford Chance Badea providing legal counsel throughout the process. Through this listing, Electro-Alfa Internațional takes a major strategic step toward consolidating its position in the capital market and accelerating sustainable long-term development.
